Terms of Service

1. Acceptance of Terms

By accessing or using CreatorShield ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including creators, clients, and visitors. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

CreatorShield is a business management platform designed for content creators, offering:

• Safe-Send: Pay-to-unlock file delivery system (Coming Soon)
• Invoice Generator: Professional invoice creation and management
• Project Agreement Builder: Customizable project agreement templates with digital confirmation
• Media Kit: Public-facing creator profiles and rate cards (Coming Soon)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access
• Not share your account credentials with others

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Payment and Billing

4.1 Subscription Plans

CreatorShield offers free and paid subscription plans. Paid plans are billed monthly or annually in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.2 Safe-Send Fees (Coming Soon)

The Safe-Send feature is currently under development. When available, Free tier users will have a 5% platform fee applied to all Safe-Send transactions. Pro and Agency users will have 0% platform fees. Payment processing fees (charged by Stripe) will apply to all transactions.

4.3 Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period.

4.4 Payment Processing

All payments are processed through Stripe. By using our payment features, you also agree to Stripe's Terms of Service. We do not store your complete payment information on our servers.

5. User Content

You retain ownership of all content you upload to CreatorShield, including files, invoices, contracts, and media kit content ("User Content").

By uploading User Content, you grant CreatorShield a limited, non-exclusive license to store, process, and display your content as necessary to provide the Service.

You represent and warrant that:

• You own or have the rights to all User Content you upload
• Your User Content does not violate any third-party rights
• Your User Content is not illegal, harmful, or offensive

6. Prohibited Uses

You agree not to use the Service to:

• Upload illegal, harmful, threatening, or abusive content
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or malicious code
• Engage in fraud, scams, or deceptive practices
• Circumvent or manipulate the Service's security features
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Violate any applicable laws or regulations

7. Invoices and Project Agreements

CreatorShield provides tools to create invoices and project agreement templates. However:

• We do not provide legal advice. Consult a qualified attorney for legal matters.
• Project agreements are NOT legal contracts. Our agreement templates are provided for convenience and record-keeping purposes only. They are NOT formal legal contracts and may not be enforceable in all jurisdictions.
• You are responsible for the accuracy and legality of your invoices and any agreements you create.
• Our agreement templates are provided as starting points and may not be suitable for all situations or jurisdictions.
• Digital confirmations collected through our platform are for record-keeping purposes only and do not constitute legally binding electronic signatures in most jurisdictions.
• For formal legal protection, you must consult with a qualified attorney and execute a formal written contract if needed.

8. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by CreatorShield and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATORSHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Disputes between creators and their clients
• Non-payment by clients for delivered work
• Service interruptions or technical failures

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to CreatorShield in the 12 months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Uninterrupted, secure, or error-free operation
• Accuracy or reliability of any content or information
• That the Service will meet your specific requirements

11. Indemnification

You agree to indemnify, defend, and hold harmless CreatorShield, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

You may terminate your account at any time through your account settings or by contacting us. We may terminate or suspend your account for any reason, including violation of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your User Content after a reasonable period
• You remain liable for any outstanding payments
• Provisions that should survive termination will remain in effect

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable laws.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against CreatorShield.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CreatorShield operates, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
